CREATOR TERMS & CONTENT SUBMISSION AGREEMENT

These Creator Terms & Content Submission Agreement (“Creator Terms”) govern the submission, upload, delivery, distribution, display, streaming, promotion, or other provision of content to The Culture Radio, a platform operated by The Culture Media, part of the Society Capital Group family of companies.
These Creator Terms apply to artists, musicians, DJs, podcasters, radio hosts, producers, writers, influencers, personalities, content creators, independent labels, podcast networks, managers, representatives, and other individuals or organizations that submit or provide content to The Culture Radio.
By submitting Content to The Culture Radio, you acknowledge that you have read, understood, and agreed to these Creator Terms.
If you are submitting Content on behalf of another person, artist, group, company, label, podcast, or organization, you represent that you have authority to accept these Creator Terms on their behalf.
1. DEFINITIONS
For purposes of these Creator Terms:
“Creator” means the person or organization submitting or providing Content.
“Content” includes any material submitted, uploaded, transmitted, distributed, provided, or otherwise made available to The Culture Radio.
Content may include:
- Music;
- Songs;
- Sound recordings;
- DJ mixes;
- Podcasts;
- Podcast episodes;
- Radio shows;
- Interviews;
- Videos;
- Photographs;
- Artwork;
- Album covers;
- Podcast covers;
- Creator profile images;
- Logos;
- Graphics;
- Written articles;
- Biographies;
- Show descriptions;
- Social media information;
- Promotional materials;
- Advertisements;
- Audio clips;
- Video clips;
- Live recordings;
- RSS feeds;
- Metadata;
- Links;
- Names and stage names;
- Likenesses;
- Voice recordings; and
- Other creative or promotional materials.
“Platform” means The Culture Radio websites, mobile applications, radio stations, podcast directories, streaming services, creator profiles, social media channels, promotional channels, and other digital services operated by or on behalf of The Culture Media.
2. YOU KEEP OWNERSHIP OF YOUR CONTENT
Submitting Content to The Culture Radio does not transfer ownership of your Content to The Culture Radio, The Culture Media, or Society Capital Group.
You retain whatever copyright and other ownership rights you legally possess in your Content.
These Creator Terms only provide us with the rights reasonably necessary to operate, distribute, display, stream, promote, market, and improve The Culture Radio and its related services.
3. LICENSE YOU GRANT TO THE CULTURE RADIO
By submitting Content, you grant The Culture Media and The Culture Radio a non-exclusive, worldwide, royalty-free license to use the submitted Content in connection with operating, promoting, marketing, distributing, and providing the Platform.
This license may include the right to:
- Host Content;
- Store Content;
- Reproduce Content as technically necessary;
- Stream Content;
- Transmit Content;
- Display Content;
- Distribute Content through authorized Platform features;
- Make Content available through our websites and applications;
- Display podcast episodes;
- Display podcast artwork;
- Display artist or creator photographs;
- Display biographies and descriptions;
- Display names, stage names, logos, and branding;
- Create thumbnails or appropriately resized versions of submitted images;
- Format Content for different devices;
- Include Content in search results;
- Include Content in categories, playlists, directories, recommendations, or featured sections;
- Promote Content through The Culture Radio;
- Promote Content through The Culture Media;
- Promote Content through our social media channels;
- Include excerpts, clips, artwork, titles, or descriptions in promotional materials;
- Promote creators in advertising for The Culture Radio; and
- Perform technical modifications reasonably necessary to deliver Content through different devices and platforms.
This license does not transfer ownership of your Content to us.
4. NON-EXCLUSIVE RELATIONSHIP
Unless you enter into a separate written agreement with us stating otherwise, your relationship with The Culture Radio is non-exclusive.
You remain free to:
- Distribute your music elsewhere;
- Publish your podcast on other platforms;
- Work with other radio stations;
- Work with other networks;
- Upload content to other websites;
- Enter into distribution agreements;
- Sign with labels or management companies; and
- Promote your work through competing services.
Nothing in these Creator Terms creates an exclusive recording, publishing, management, distribution, or representation agreement.
5. CONTENT IMPORTED THROUGH RSS FEEDS
Creators may provide or authorize The Culture Radio to access podcast Content through RSS feeds.
When a Creator provides an RSS feed, the Creator authorizes The Culture Radio to use information available through that feed to operate applicable Platform features.
This may include:
- Podcast title;
- Podcast artwork;
- Episode titles;
- Episode descriptions;
- Audio files;
- Publication dates;
- Creator information;
- Categories;
- Episode metadata; and
- Links.
The Culture Radio may periodically retrieve updates from an RSS feed to keep podcast information current.
Creators remain responsible for maintaining and controlling their original RSS feeds.
6. PODCAST DIRECTORY CONTENT
The Culture Radio may maintain a podcast discovery directory containing podcasts from creators, networks, publishers, public RSS feeds, authorized databases, APIs, distribution partners, or other sources.
The appearance of a podcast within the directory does not mean that The Culture Radio owns the podcast.
Podcast creators and rights holders retain their applicable ownership rights.
If you own or control a podcast listed on The Culture Radio and would like to:
- Claim the podcast;
- Update information;
- Correct information;
- Replace artwork;
- Update creator information;
- Connect a Creator Profile; or
- Request removal;
you may contact The Culture Radio.
7. MUSIC SUBMISSIONS
Artists, labels, managers, producers, DJs, and authorized representatives may submit music for consideration for The Culture Radio stations, shows, playlists, interviews, features, and promotional opportunities.
Submission of music does not guarantee:
- Airplay;
- Playlist placement;
- Rotation;
- Promotion;
- Interviews;
- Editorial coverage;
- Social media promotion;
- Featured placement; or
- Any minimum number of streams or listeners.
Programming decisions remain at the discretion of The Culture Radio and its programmers.
8. NO PAY-FOR-PLAY GUARANTEE
Unless clearly identified as a lawful advertising, sponsorship, promotional, or other commercial arrangement, payment does not guarantee editorial coverage, airplay, playlist placement, positive reviews, recommendations, or favorable treatment.
Sponsored or paid promotional arrangements may be identified as advertising, sponsored content, promotions, or similar disclosures where appropriate.
9. DJ MIXES
Creators submitting DJ mixes represent that they have the rights, permissions, licenses, or other lawful authority necessary to provide the submitted mix to The Culture Radio to the extent required by applicable law.
The Culture Radio’s own music licensing arrangements should not be interpreted as automatically clearing every right associated with Creator-submitted Content.
Creators remain responsible for rights associated with material they independently submit unless a separate written agreement states otherwise.
10. YOUR REPRESENTATIONS AND WARRANTIES
By submitting Content, you represent and warrant that:
- You own the Content or have sufficient rights to submit it;
- You have authority to grant the rights described in these Creator Terms;
- Your submission does not knowingly violate another person’s copyright, trademark, privacy, publicity, contractual, or other legal rights;
- You have obtained required permissions from collaborators, performers, photographers, producers, writers, publishers, labels, or other applicable rights holders;
- Information you provide about yourself or your Content is materially accurate;
- You will not intentionally submit malicious software or harmful code;
- You will not intentionally submit fraudulent or deceptive Content; and
- Your submission complies with applicable law.
11. SAMPLES, BEATS, AND THIRD-PARTY MATERIAL
If your Content includes:
- Samples;
- Beats;
- Instrumentals;
- Photographs;
- Video footage;
- Artwork;
- Sound recordings;
- Musical compositions;
- Guest performances;
- Interviews;
- Stock materials; or
- Other third-party material;
you are responsible for ensuring that you have any rights or permissions legally required for your submission and our permitted use of it.
12. COLLABORATORS
If Content includes contributions from multiple people, you represent that you have the authority necessary to submit the Content and grant the rights provided under these Creator Terms.
This may include permissions from:
- Co-hosts;
- Featured artists;
- Producers;
- Songwriters;
- Photographers;
- Videographers;
- Designers;
- Interview guests;
- Performers; and
- Other contributors.
13. NAME, IMAGE, LIKENESS, AND BIOGRAPHICAL INFORMATION
If you submit your name, stage name, photograph, image, voice, likeness, logo, biography, or other identifying promotional material, you authorize The Culture Radio and The Culture Media to use those materials in connection with your Content and the promotion of the Platform.
For example, we may display your image on:
- Creator Profiles;
- Podcast pages;
- Radio station pages;
- Show pages;
- Homepage features;
- Promotional banners;
- Social media posts;
- Mobile applications;
- Email promotions; and
- Other Platform marketing.
14. CREATOR PROFILES
The Culture Radio may provide Creator Profiles allowing audiences to discover creators and their work.
Creator Profiles may include:
- Creator photograph;
- Name or stage name;
- Biography;
- Location;
- Creator category;
- Social media links;
- Website;
- Podcast connections;
- Radio station connections;
- Shows;
- Featured Content; and
- Other professional information.
Creators are responsible for ensuring information submitted for their profiles is accurate.
15. EDITORIAL CONTROL
The Culture Radio retains editorial and programming discretion concerning the Platform.
We may determine:
- Which Content is featured;
- Which Content appears on particular stations;
- Categories assigned to Content;
- Homepage placement;
- Search placement;
- Featured Creator selections;
- Programming schedules;
- Podcast recommendations;
- Promotional placement; and
- Other editorial decisions.
Submitting Content does not guarantee publication or continued availability.
16. CONTENT MODIFICATIONS
We may make limited technical or editorial modifications reasonably necessary to display or distribute Content.
Examples include:
- Resizing images;
- Cropping thumbnails;
- Converting file formats;
- Adjusting metadata formatting;
- Correcting obvious typographical errors;
- Shortening descriptions for display;
- Creating excerpts;
- Adjusting Content for mobile devices; or
- Creating promotional previews.
We will not intentionally alter the fundamental meaning of Creator Content without appropriate authorization.
17. CONTENT REMOVAL
The Culture Radio may remove or restrict Content when we reasonably believe:
- It violates these Creator Terms;
- It violates our Community Guidelines;
- It violates our Terms of Use;
- It infringes intellectual property rights;
- We receive a legally valid removal request;
- Continued distribution creates legal or security concerns;
- The Creator requests removal;
- A business or distribution relationship ends; or
- Removal is otherwise reasonably necessary to operate the Platform.
18. CREATOR REMOVAL REQUESTS
Creators may request removal of Creator-submitted Content by contacting:

Please include:
- Your name;
- Creator or business name;
- Email address;
- URL of the Content;
- Description of the Content; and
- Confirmation that you own or are authorized to control the Content.
We may take reasonable steps to verify ownership or authority before removing Content.
Removal from active Platform pages may not immediately remove temporary, cached, archived, backup, search-indexed, or previously distributed copies.
19. TERMINATION OF LICENSE AFTER REMOVAL
When Creator-submitted Content is removed from active distribution, our license to actively use that Content will generally terminate within a commercially reasonable period, except where continued use is reasonably necessary for:
- Legal compliance;
- Recordkeeping;
- Backups;
- Resolving disputes;
- Previously published promotional materials;
- Accounting;
- Security;
- Enforcing agreements; or
- Other lawful purposes.
20. COPYRIGHT COMPLAINTS
If you believe Content available through The Culture Radio infringes your copyright, please follow the procedures contained in our Copyright & DMCA Policy.

21. MONETIZATION
The Culture Radio may monetize the Platform through methods including:
- Advertising;
- Sponsorships;
- Subscriptions;
- Memberships;
- Promotions;
- Branded Content;
- Affiliate relationships;
- Creator services;
- Distribution arrangements; and
- Other commercial activities.
The appearance of Creator Content on a monetized Platform does not automatically entitle a Creator to advertising revenue, subscription revenue, sponsorship revenue, or other compensation.
Any revenue-sharing arrangement must be established through a separate written agreement or clearly stated Creator program.
22. NO AUTOMATIC ROYALTY OR COMPENSATION OBLIGATION
Submission or inclusion of Content does not by itself create an employment, royalty, revenue-sharing, partnership, management, agency, or compensation relationship between the Creator and The Culture Radio.
This provision does not eliminate any payment obligation that may independently exist under applicable law, a valid license, or a separate written agreement.
23. CREATOR ANALYTICS
The Culture Radio may provide creators with information concerning the performance of their Content.
Analytics may include:
- Views;
- Clicks;
- Plays;
- Listening activity;
- Podcast activity;
- Audience engagement;
- Traffic;
- Geographic information;
- Referral information; and
- Other performance measurements.
Analytics may contain estimates, technical discrepancies, filtering, delayed reporting, or information obtained from third-party providers.
We do not guarantee that analytics will always be complete or error-free.
24. ARTIFICIAL STREAMING AND ENGAGEMENT
Creators may not artificially manipulate Platform activity.
Prohibited activity includes:
- Purchasing fake streams;
- Using bots to generate plays;
- Artificially increasing podcast downloads;
- Creating fraudulent accounts;
- Automated clicking;
- Manipulating rankings;
- Artificially inflating engagement; or
- Encouraging fraudulent streaming activity.
We may remove fraudulent activity from reported metrics and may restrict or terminate Creator participation.
25. CREATOR CONDUCT
Creators using The Culture Radio must comply with our Community Guidelines.
We may restrict Creator participation for serious or repeated violations.
26. NO EMPLOYMENT OR AGENCY RELATIONSHIP
Unless a separate written agreement expressly provides otherwise, submitting Content does not make you:
- An employee of The Culture Radio;
- An employee of The Culture Media;
- An employee of Society Capital Group;
- An agent;
- A partner;
- A joint venturer;
- A franchisee; or
- An authorized representative of our companies.
Creators may not represent that they have authority to enter into agreements on behalf of The Culture Radio unless specifically authorized in writing.
27. THIRD-PARTY PLATFORMS
The Culture Radio may use third-party technology to provide portions of its services.
These services may include:
- Hosting;
- Streaming;
- Podcast hosting;
- Content delivery;
- Analytics;
- Advertising;
- Social media;
- Payment processing; and
- Distribution.
Creator Content processed through third-party services may also be subject to applicable third-party terms.
28. INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless The Culture Media, The Culture Radio, Society Capital Group, their applicable affiliates, officers, directors, employees, representatives, and agents from third-party claims, liabilities, damages, losses, and reasonable costs arising from:
- Content you submit;
- Your material breach of these Creator Terms;
- Your violation of applicable law;
- Your infringement of another person’s intellectual property rights; or
- Your material misrepresentation concerning your authority to submit Content.
This obligation will apply only to the extent permitted by applicable law.
29. DISCLAIMER
The Platform and Creator services are provided on an “as available” basis to the extent permitted by applicable law.
We do not guarantee:
- Minimum audience size;
- Minimum streams;
- Minimum downloads;
- Revenue;
- Sponsorship opportunities;
- Advertising opportunities;
- Career opportunities;
- Record deals;
- Management agreements;
- Viral exposure;
- Search rankings; or
- Continued Platform availability.
30. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, The Culture Media, The Culture Radio, Society Capital Group, and their applicable affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from participation in Creator services, except where such limitations are prohibited by law.
Nothing in these Creator Terms excludes liability that cannot legally be excluded.
31. ACCOUNT SUSPENSION OR TERMINATION
We may suspend or terminate Creator access when reasonably necessary because of:
- Serious or repeated policy violations;
- Fraud;
- Copyright infringement;
- Security threats;
- Artificial streaming;
- Illegal activity;
- Material breach of these Creator Terms; or
- Other conduct that creates significant risk to the Platform or its users.
32. CHANGES TO CREATOR SERVICES
The Culture Radio will continue to evolve.
We may introduce, modify, discontinue, or replace Creator features, including:
- Creator Profiles;
- Podcast directories;
- Music submission systems;
- Analytics;
- Streaming features;
- Radio stations;
- Promotional programs;
- Monetization programs; and
- Creator dashboards.
Material changes affecting Creator rights may also result in updates to these Creator Terms.
33. CHANGES TO THESE TERMS
We may update these Creator Terms periodically.
When material changes are made, we may update the “Last Updated” date and provide additional notice where required by applicable law.
New submissions may be governed by the version of these Creator Terms in effect when the submission occurs.
34. GOVERNING LAW
To the extent permitted by applicable law, these Creator Terms will be governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Nothing in this section eliminates rights that cannot legally be waived under applicable law.
35. SEVERABILITY
If any provision of these Creator Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
36. ENTIRE AGREEMENT
These Creator Terms, together with applicable Platform policies and any separate written agreement between the Creator and The Culture Media, constitute the applicable terms governing Creator submissions.
If a separately signed written agreement directly conflicts with these Creator Terms, the separately signed agreement will control with respect to the subject matter of that agreement.

CREATOR SUBMISSION ACKNOWLEDGMENT
Before submitting Content to The Culture Radio, the Creator should be required to acknowledge:
By submitting my content, I confirm that I own or have the necessary rights and permissions to submit this content. I authorize The Culture Radio and The Culture Media to host, display, stream, distribute, and promote my submitted content in accordance with the Creator Terms & Content Submission Agreement. I understand that I retain ownership of my content and that submission does not guarantee airplay, distribution, promotion, revenue, or compensation.

[ ] I understand that submitting Content does not guarantee placement, airplay, promotion, or compensation.
